# NIZA Air — Terms and Conditions

## 1. Introduction and Acceptance

These Terms and Conditions ("**Terms**") govern your access to and use of the website, quotes, booking services, and related services (collectively, the "**Services**") provided by **NIZA AIR LLC**, a limited liability company registered in the State of Wyoming, United States, operating under the brand "**NIZA Air**" ("**NIZA Air**," "**we**," "**us**," or "**our**").

By accessing our website, requesting a quote, making a booking, submitting payment, or otherwise using our Services, you ("**Client**," "**you**," or "**your**") acknowledge that you have read, understood, and agree to be legally bound by these Terms. **If you do not agree to these Terms, do not use our Services.**

You represent that you are at least 18 years of age and have the legal authority to enter into these Terms, both on your own behalf and on behalf of any passengers or other persons for whom you arrange travel.

## 2. Who We Are — Our Role as an Aviation Broker

**This is the most important section of these Terms. Please read it carefully.**

NIZA Air is an **aviation broker and facilitator**. We act as an intermediary that arranges private air charter and related aviation services between you (the Client) and independent, third-party aircraft operators ("**Operators**").

Specifically, you acknowledge and agree that:

- **NIZA Air does not own, operate, lease, control, maintain, crew, or manage any aircraft.**
- **NIZA Air is not an air carrier, airline, or aircraft operator**, and does not hold an air operator certificate.
- Our role is limited to **sourcing quotes, arranging bookings, coordinating logistics, processing payment, and facilitating communication** between you and the Operators who actually provide the flight.
- All flights are performed by **independent third-party Operators** who are solely responsible for the operation, safety, airworthiness, crewing, maintenance, insurance, and regulatory compliance of the aircraft and the flight.
- The Operator — not NIZA Air — is the party in **operational control** of every flight (often referred to as "operational control" or "OCF" under applicable aviation regulations).

**Analogy for clarity:** Our role is comparable to that of an online travel marketplace such as Expedia, which arranges and books travel provided by independent airlines and hotels but does not itself operate the flights or run the hotels. In the same way, NIZA Air arranges and books aviation services provided by independent Operators, but does not itself operate any aircraft or flight.

We charge and collect payment from you under the NIZA Air brand and, in turn, arrange for the Operator to perform the flight. The fact that you pay NIZA Air, and that we manage the booking under our brand, **does not** make NIZA Air the operator or carrier of any flight, and **does not** transfer to NIZA Air any responsibility for the operation or safety of the flight.

## 3. Quotes, Bookings, and Confirmation

**3.1 Quotes.** Quotes provided by NIZA Air are estimates based on information available at the time and on Operator availability and pricing. Quotes are **not binding** until a booking is confirmed in writing and payment (or the applicable deposit) is received. Prices, aircraft availability, and Operators are subject to change until confirmation.

**3.2 Aircraft substitution.** Aircraft and Operators are subject to availability. The specific aircraft, tail number, or Operator identified in a quote or booking may be substituted by an equivalent or superior aircraft/Operator at any time, including due to maintenance, scheduling, weather, or operational reasons, without liability to NIZA Air.

**3.3 Confirmation.** A booking is confirmed only when NIZA Air provides written confirmation. It is your responsibility to review all confirmation details (dates, times, airports, passenger names, and requirements) and notify us immediately of any errors.

**3.4 Passenger information.** You are responsible for providing accurate and complete information for all passengers, including identification, travel documents, weights (where required for safety and performance), and any special requirements. Inaccurate or incomplete information may result in delays, additional charges, or cancellation, for which NIZA Air is not responsible.

## 4. Payments, Fees, Cancellations, and Refunds

**4.1 Payment.** All payments for Services are made to NIZA Air under the NIZA Air brand. You agree to pay all amounts due — including charter fees, applicable taxes, fees, surcharges, and any additional costs — in the currency and by the payment method specified at booking. Bookings are not confirmed until the required payment or deposit is received in full.

**4.2 Additional charges.** Certain charges may arise before, during, or after a flight and may be passed through to you, including but not limited to: fuel surcharges, de-icing, catering, ground transportation, landing/handling/parking fees, overnight crew costs, wait time, flight-time overages, international fees, customs/immigration fees, taxes, and de minimis or regulatory charges. You authorize NIZA Air to charge your payment method for such additional amounts where applicable.

**4.3 Cancellations by you.** Cancellations must be submitted in writing. Cancellation fees are determined primarily by the **Operator's** cancellation policy applicable to your booking, which may result in **partial or no refund**, particularly for cancellations close to the scheduled departure. NIZA Air's service and facilitation fees may be **non-refundable**. The specific cancellation terms applicable to your booking will be provided at or before confirmation and form part of these Terms.

**4.4 Cancellations or changes by the Operator.** Operators may cancel, delay, divert, or modify a flight for reasons including but not limited to weather, mechanical or maintenance issues, crew availability, air traffic control, regulatory requirements, force majeure, or safety considerations. **NIZA Air is not responsible or liable** for any Operator cancellation, delay, diversion, or modification. Where a flight is cancelled by the Operator, NIZA Air will use commercially reasonable efforts to source an alternative Operator or facilitate a refund of amounts recoverable from the Operator, **less any non-refundable NIZA Air fees and any costs already incurred**. NIZA Air does not guarantee replacement flights or full refunds.

**4.5 Refunds.** Any refund is subject to (a) the Operator's policies and actual recovery of funds from the Operator, and (b) deduction of NIZA Air's non-refundable fees and any third-party costs already incurred. Refunds, where due, will be processed to the original payment method within a commercially reasonable time. NIZA Air is not liable for delays in refunds caused by Operators, banks, or payment processors.

**4.6 Chargebacks.** You agree to contact NIZA Air to resolve any billing dispute before initiating a chargeback. Initiating a chargeback that is inconsistent with these Terms or the applicable cancellation policy constitutes a breach of these Terms.

## 5. Assumption of Risk

You acknowledge and agree that **private aviation and air travel involve inherent risks**, including risks of delay, injury, or death, that cannot be entirely eliminated. By using our Services and by traveling on flights arranged through NIZA Air, you **voluntarily and knowingly assume all such risks**, whether known or unknown, to the fullest extent permitted by applicable law.

You further acknowledge that:

- These inherent risks arise from the operation of the aircraft and the flight, which are controlled solely by the **Operator**, not by NIZA Air.
- NIZA Air does not conduct, supervise, or guarantee the safety of any flight, aircraft, crew, or Operator.
- You assume all risks associated with the acts, omissions, negligence, or misconduct of the Operator, its crew, its agents, and any other third-party service providers.
- You are responsible for ensuring that all passengers for whom you book are aware of and accept these risks; you enter into these Terms on their behalf and are responsible for their compliance.

This assumption of risk is intended to be as broad and inclusive as permitted by applicable law and survives completion of any flight or termination of these Terms.

## 6. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an **"as is" and "as available"** basis. NIZA Air makes **no warranties or representations of any kind**, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, with respect to the Services or to any flight, aircraft, Operator, crew, or third-party service arranged through us.

Without limiting the foregoing, NIZA Air does not warrant or guarantee: (a) the safety, airworthiness, quality, or condition of any aircraft; (b) the qualifications, licensing, conduct, or performance of any Operator or crew; (c) the punctuality, completion, or availability of any flight; or (d) that the Services will be uninterrupted, timely, secure, or error-free. Any such matters are the sole responsibility of the applicable Operator or third party.

## 7. Limitation of Liability

**7.1 No liability for Operators and third parties.** You expressly agree that NIZA Air is **not liable or responsible** for any act, omission, negligence, willful misconduct, breach, delay, injury, death, property damage, loss, or other harm caused by or arising out of the conduct of any **Operator, aircraft, crew, or other third-party service provider**. Any claim relating to the operation, safety, or performance of a flight must be pursued against the responsible Operator or third party, not against NIZA Air.

**7.2 Exclusion of certain damages.** To the fullest extent permitted by applicable law, NIZA Air, its owners, members, managers, officers, employees, and agents shall **not be liable** for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.

**7.3 Cap on liability.** To the fullest extent permitted by applicable law, the **total aggregate liability** of NIZA Air arising out of or relating to the Services and these Terms, from all causes and under any theory of liability, shall not exceed the **total amount of service/facilitation fees actually retained by NIZA Air** (i.e., excluding amounts passed through to Operators or third parties) for the specific booking giving rise to the claim.

**7.4 Basis of the bargain.** You acknowledge that the disclaimers and limitations in these Terms reflect a reasonable allocation of risk between you and NIZA Air, are a material basis of the bargain, and would not be provided at the stated prices without such limitations.

## 8. Indemnification

You agree to **defend, indemnify, and hold harmless** NIZA AIR LLC and its owners, members, managers, officers, employees, agents, and affiliates (collectively, the "**Indemnified Parties**") from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

- your use of the Services;
- any flight, aircraft, Operator, or third-party service arranged through NIZA Air;
- any injury, death, or property damage suffered by you or any passenger or third party for whom you booked;
- your breach of these Terms or of any applicable law or regulation;
- any inaccurate or incomplete information you provide; or
- the acts or omissions of any passenger or other person for whom you arranged travel.

This indemnification obligation survives the termination of these Terms and the completion of any flight.

## 9. Compliance, Documentation, and Conduct

You are solely responsible for ensuring that you and all passengers comply with all applicable laws, regulations, and requirements, including valid identification, passports, visas, customs, immigration, and health/entry requirements for all origin, destination, and transit locations. NIZA Air is not responsible for any denial of boarding, entry, or transit, or any resulting cost or loss.

You agree that neither you nor any passenger will transport any prohibited, illegal, hazardous, or undeclared items, or engage in any unlawful or unsafe conduct. The Operator and its crew have final authority over the flight, including the right to refuse carriage for safety, security, or legal reasons.

## 10. Third-Party Operators and Independent Contractors

All Operators and other service providers arranged through NIZA Air are **independent contractors**, not employees, agents, partners, or joint venturers of NIZA Air. NIZA Air does not control and is not responsible for their acts or omissions. Nothing in these Terms creates any agency, partnership, employment, or joint-venture relationship between NIZA Air and any Operator, or between NIZA Air and you.

## 11. Insurance

Aviation insurance covering the aircraft, passengers, and operation of each flight is carried by the applicable **Operator**, not by NIZA Air. NIZA Air does not provide, and shall not be deemed to provide, any insurance coverage for any flight, passenger, or loss. You are encouraged to obtain your own travel and personal insurance appropriate to your circumstances.

## 12. Force Majeure

NIZA Air shall not be liable for any failure or delay in performance, or for any cancellation, delay, or modification of any flight or Service, resulting from causes beyond its reasonable control, including but not limited to weather, natural disasters, acts of God, war, terrorism, civil unrest, strikes or labor disputes, government action or regulation, airspace or airport closures, air traffic control restrictions, pandemics or public-health events, mechanical or technical failures, or the acts or omissions of Operators or other third parties.

## 13. Intellectual Property

All content on the NIZA Air website and materials, including trademarks, logos, text, graphics, and the "NIZA Air" brand, is owned by or licensed to NIZA AIR LLC and is protected by applicable intellectual-property laws. You may not copy, reproduce, distribute, or create derivative works from such content without our prior written permission.

## 14. Privacy

Your use of the Services is also governed by our [Privacy Policy](https://nizaair.com/privacy), which describes how we collect, use, and share personal information. By using the Services, you consent to the collection and use of your information as described in that policy.

## 15. Governing Law and Dispute Resolution

**15.1 Governing law.** These Terms, and any dispute or claim arising out of or relating to them or the Services, shall be governed by and construed in accordance with the laws of the **Republic of Costa Rica**, without regard to its conflict-of-laws principles.

> **Note for attorney review:** NIZA AIR LLC is registered in the State of Wyoming, USA, while these Terms designate Costa Rican law as governing. This cross-border structure (U.S. entity, Costa Rican governing law) should be confirmed by counsel to ensure enforceability against clients in the relevant jurisdictions, and to confirm whether a Wyoming or U.S. forum-selection or arbitration alternative is preferable for your risk profile.

**15.2 Venue / dispute resolution.** Subject to your attorney's review, you and NIZA Air agree that any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the competent courts located in **San José, Costa Rica**, and you consent to the personal jurisdiction of those courts. *(If you prefer binding arbitration or a class-action waiver, this section should be revised by counsel accordingly.)*

**15.3 Time limitation.** To the fullest extent permitted by applicable law, any claim arising out of or relating to the Services must be brought within **one (1) year** after the cause of action arises, or it is permanently barred.

## 16. Changes to These Terms

NIZA Air may modify these Terms at any time by posting the revised version, with an updated "Last updated" date. Changes are effective when posted. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

## 17. Miscellaneous

**17.1 Entire agreement.** These Terms, together with any booking confirmation and applicable Operator terms and cancellation policy, constitute the entire agreement between you and NIZA Air regarding the Services and supersede all prior agreements or understandings.

**17.2 Severability.** If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

**17.3 No waiver.** Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

**17.4 Assignment.** You may not assign or transfer these Terms without our prior written consent. NIZA Air may assign these Terms in connection with a merger, acquisition, or sale of assets.

**17.5 Headings.** Section headings are for convenience only and do not affect interpretation.
